Article 1 — Definitions

In these terms the following definitions apply:

  • Consideration time: the term during which the consumer can use the right of withdrawal.
  • Consumer: the natural person not dealing on behalf of a company or profession and who enters a distance agreement with the entrepreneur.
  • Day: calendar day.
  • A length transaction: a distance agreement related to a series of products and services of which the delivery and the purchasing are spread over a period of time.
  • Durable medium: any instrument which enables the recipient or the entrepreneur to store information addressed personally to them in a way accessible for future reference for a period adequate to the purpose of the information, and which allows the unchanged reproduction of the information stored.
  • Right of withdrawal: the possibility for the consumer to terminate the distance agreement within the consideration term.
  • Entrepreneur: the natural person or corporation who offers distance products to consumers.
  • Distance agreement: an agreement based on an organised system of distance sales of products and services, including closing an agreement using one or more techniques of distant communication.
  • Technique of distant communication: a means that can be used to close an agreement without the consumer and the entrepreneur having gathered together in the same place at the same time.

Article 3 — Relevance

These terms apply to any offer of the entrepreneur and to every finalised distance agreement between the entrepreneur and the consumer.

Before the distance agreement is concluded, the text of these terms is made available to the consumer. If that is reasonably not possible, it will be indicated that the terms can be seen at the entrepreneur, and on request they shall be sent to the consumer as soon as possible without extra cost.

If the distance agreement is concluded electronically, the text of these terms is made available electronically so that it can be saved on a durable medium. If that is reasonably not possible, it will be indicated where the consumer can find the terms, and they will be sent electronically or otherwise without extra cost on request.

If specific product or service conditions also apply, and those conditions conflict, the consumer can rely on the conditions which are most favourable to the consumer.

Article 4 — Offer

If an offer has a limited validity or other specifications, this will be clearly mentioned. The offer contains a complete and accurate description of the products and services, detailed enough for a proper assessment. Images are true representations. Obvious mistakes and errors do not bind the entrepreneur.

Each offer makes clear the rights and obligations of accepting it, in particular:

  • the price, inclusive of taxes, and possible costs of delivery
  • the manner in which the agreement is concluded
  • whether the right of withdrawal applies
  • the method of payment, delivery and performance
  • the deadline for accepting the offer, or the period for which the price is guaranteed
  • the cost of distance communication, if it is more than the regular fare
  • whether the agreement is archived after conclusion, and how the consumer can consult it
  • how the consumer can check and restore the information provided before concluding the agreement
  • any other languages in which the agreement can be concluded
  • any codes of conduct, and how the consumer can consult them
  • the minimum duration of the distance agreement in the event of a length transaction

Article 5 — The agreement

The agreement is finalised when the consumer accepts the offer and meets the conditions. If the consumer has accepted electronically, the entrepreneur confirms receipt electronically. Until that confirmation, the consumer can terminate the agreement.

If the agreement is concluded electronically, the entrepreneur takes appropriate measures to protect the electronic transfer and to provide a safe web environment, including the security measures needed for electronic payment.

Within the legal framework, the entrepreneur may check whether the consumer can meet the payment obligations. If there are good reasons not to conclude the agreement, the entrepreneur may refuse an order or attach special conditions, and will give the reason.

With the products or services, the entrepreneur sends, in a form the consumer can store:

  1. the address of the company for complaints
  2. how the consumer can use the right of withdrawal, and any exclusion of that right
  3. information about after-sales guarantees and services
  4. the information in Article 4, unless it was already sent
  5. the requirements for ending the agreement if it lasts one year or more, or has an indefinite duration

In a length transaction, the last item applies only to the first delivery.

Article 6 — Right of withdrawal

After purchasing products, the consumer may end the agreement without giving reasons during 14 days. The cooling-off period starts on the day after the consumer, or a representative made known to the entrepreneur, receives the product.

During the cooling-off period the consumer shall treat the product and the package carefully, and unpack or use it only so far as needed to judge whether to keep it. To use the right of withdrawal, the consumer returns the product with all accessories and, if reasonably possible, in the original packaging, following the entrepreneur’s instructions.

After the delivery of services, the consumer may end the agreement without giving reasons during at least 14 days, starting on the day the agreement is entered into, following the instructions given with the offer or at delivery.

Article 7 — Withdrawal costs

If the consumer uses the right of withdrawal, the consumer pays no more than the cost of returning the product.

If the consumer has paid, the entrepreneur pays that amount back as soon as possible, and no later than 14 days after the withdrawal or the return shipment.

Article 8 — Exclusion of the right of withdrawal

The entrepreneur can exclude the right of withdrawal only where stated below, and only if this is clearly mentioned in time before the agreement is concluded. Exclusion is possible for products:

  1. made by the entrepreneur to the consumer’s specifications
  2. that are clearly personal in nature
  3. which cannot be returned because of their nature
  4. that can spoil or age quickly
  5. whose price is bound to fluctuation on a financial market which the entrepreneur cannot influence
  6. individual newspapers and magazines
  7. for which it cannot be established that the item is the original product delivered by the shop

Article 9 — Pricing

During the validity period in the offer, prices shall not be raised, except for price changes due to changing VAT rates. Products may be offered with variable prices where those prices follow a financial market the entrepreneur cannot influence. That, and the fact that the prices are target prices, will be mentioned with the offer.

Price increases within 3 months after the agreement are permitted only if they result from legal regulations. Price increases from 3 months after the agreement are permitted only if the entrepreneur has stipulated this and they result from legal regulations, or the consumer may end the agreement from the day the increase takes effect.

Prices in the offer include VAT.

Article 10 — Conformity and guarantees

The entrepreneur ensures that the products and services meet the agreement, the specifications in the offer, reasonable requirements of soundness and usefulness, and the legal provisions in force when the agreement is made. If agreed, the entrepreneur also ensures that the product is suitable for other than normal use.

A guarantee from the entrepreneur, manufacturer or importer does not alter the rights and claims the consumer can make against the entrepreneur under the agreement.

Article 11 — Delivery and execution

The entrepreneur takes the utmost care in receiving and carrying out orders. The address the consumer has given is the place of delivery.

Accepted orders are carried out promptly, and no later than within 30 days, unless a longer period has been agreed. If delivery is delayed or cannot be carried out, in whole or in part, the consumer is told no later than 30 days after the order. The consumer may then end the agreement without further cost and is entitled to compensation.

If the agreement ends for that reason, the entrepreneur pays back what the consumer has paid as soon as possible, and no later than 30 days after the ending.

If an ordered product cannot be delivered, the entrepreneur will try to offer a replacement, and will say so clearly before delivery. The right of withdrawal is not excluded for a replacement. The cost of returning a replacement is met by the entrepreneur.

The risk of damage or loss rests with the entrepreneur until delivery to the consumer, or to a representative announced to the entrepreneur, unless expressly agreed otherwise. If you receive a damaged product, report it by email within three days.

Article 12 — Length transactions

The consumer may end an agreement of indefinite duration for regular delivery of products or services at any time, with notice of not more than one month. The consumer may end an agreement of definite duration for regular delivery at the end of that period, with notice of not more than one month.

The consumer may end those agreements at any time, in the same manner as they were entered into, and with no longer a notice period than the entrepreneur has for ending them.

An agreement for a definite period for regular delivery of products or services may not be extended automatically for another fixed period. An exception is an agreement for regular delivery of daily newspapers, weeklies and magazines, which may be extended for a specified duration of three months, if the consumer can end the extension at the end of that period with one month’s notice.

An agreement for regular delivery may be extended automatically for an indefinite period only if the consumer may end it at any time with notice of no more than one month, or no more than three months where delivery is less than once a month for newspapers and magazines.

A trial or introductory subscription for newspapers and magazines is not extended automatically and ends at the end of the trial or introductory period.

If an agreement lasts more than one year, the consumer may end it after one year at any time, with notice of not more than one month, unless reasonableness and fairness oppose ending it before the agreed duration.

Article 13 — Payments

Unless otherwise agreed, amounts due are paid by the consumer within 7 days after the start of the cooling-off period in Article 6. For a service, that period starts after the consumer receives confirmation of the agreement.

When selling products to consumers, a prepayment of more than 50% is never required in these terms. Where a prepayment is agreed, the consumer has no right to performance of the order before that payment is made.

The consumer must tell the entrepreneur about inaccuracies in the payment details.

If the consumer is in default, the entrepreneur may, subject to legal restrictions, charge the reasonable costs made known to the consumer in advance.

Article 14 — Complaints

Complaints about the carrying out of the agreement must be described fully and clearly, and submitted within a reasonable time after the consumer has noticed the defects.

Complaints are answered within 14 days of receipt. If a complaint will take longer, the entrepreneur replies within 14 days with an acknowledgement and an indication of when a more detailed answer will be sent.

If a complaint cannot be resolved by agreement, it becomes a dispute under Article 15.

Article 15 — Disputes

Dutch law applies exclusively to agreements between the entrepreneur and the consumer to which these terms relate.

Article 16 — Additional and different provisions

Additional or different provisions may not be to the prejudice of the consumer, and should be recorded in writing so that the consumer can save them on a durable medium.
